The Legal Stability Disclosure and Disclaimer

The official Legal Stability Disclosure and Disclaimer explains the current legal situation candidly:

• In 2022, the Honduran National Congress adopted Decrees Nos. 32-2022 and 33-2022 attempting to repeal the ZEDE constitutional amendments and organic law, and in September 2024 the Honduran Supreme Court issued ruling RI-CSJ-0738-2021, publicized as holding the ZEDE framework unconstitutional with purported retroactive effect.

• These actions have created legal uncertainty and risks for residences, registries, entities, business operations, contracts, and property within Próspera ZEDE.

• Próspera's organizers and affiliated entities maintain that neither the Decrees nor the ruling can lawfully be applied to existing ZEDEs, based on: constitutional non-retroactivity (Article 94 of the Honduran Law on Constitutional Justice), protection of acquired rights (Article 96 of the Honduran Constitution), international treaty obligations (CAFTA-DR Article 10.4 and the Honduras–Kuwait investment treaty Article 16.4, guaranteeing legal stability for not less than 50 years — until at least 2064), due-process violations, res judicata and non-executability, and the supremacy of international law.

• A Request for Arbitration has been filed with the International Centre for Settlement of Investment Disputes (ICSID).

The disclosure also states plainly that there is no guarantee countermeasures will succeed, and that continued reliance on the legal stability of Próspera ZEDE entails the knowing and voluntary assumption of the associated risks.
