Add or Change Entity Representative
To add an additional representative or to transfer entity ownership, follow the steps below:

Log in to the ePróspera portal.

Select Business from the left-hand menu, then select the entity you want to manage.

In the upper-right corner, click Manage, then select Manage Representatives.

From the Manage Representatives page, you can:

Add a new representative to manage the entity:
- Click Add another representative, provide the resident's 14-digit Resident Permit Number, then click Add.

Remove a representative:
- Click the ⋮ icon beside the representative's name, then click Remove.

Important:

Once a newly added representative becomes active, they will be granted administrator privileges for the corresponding entity.

The original representative can only be removed from the list if a new resident is available to replace them.
Certificate of Organization
For an LLC formed through ePróspera, the Certificate of Organization is generated as part of the approved entity formation. There is no separate $25 request or payment required to download this original formation document.

Log in to the ePróspera portal.

Select Documents from the left-hand menu.

Select the LLC under My Entities.

Find Certificate of Organization and click Download.
For-profit corporations receive Articles of Incorporation instead. If an approved LLC's Certificate of Organization is missing from Documents, contact support through the portal's help chat.
Certificate of Good Standing
The Certificate of Good Standing/Registration offers the following:

Prove entity’s legal status to banks, etc.
-
Gives you access to a shareable document that shows the validity of your company.

Includes a QR code that links the certificate to your company profile in ePróspera.
To obtain a Certificate of Good Standing for your entity, follow the steps below:
Log in to the ePróspera portal.
Select Business from the left-hand menu, then select the entity.
In the upper-right corner, click Manage, then select Certificate of Good Standing.
Review the eligibility notice, click Request Certificate ($25), and complete payment in the portal.
Wait for review. Once approved and issued, click Download Certificate. The certificate will also appear under Documents, and ePróspera will send an issuance email.
Certificates of Good Standing are currently available only for active For-Profit Corporations and LLCs that have not been dissolved. Before paying, confirm that the entity's required tax filings and payments are current. The portal warns that the $25 fee is not refunded when a request is rejected for missing or unpaid taxes.
Entity Termination / Dissolution
Follow the steps below in order to terminate your Entity:

Complete the form Articles of Dissolution then download a copy of it to your computer or phone.

Open a support ticket using the help chat in your ePróspera portal account. Attach the document using the paperclip icon.

Wait for the invoice to be sent to your contact email then pay the fee using the link provided for $25 USD / 600 Lempiras.
Can I pause my Entity's residency?
It is not feasible to temporarily suspend the residency of your Entity. Therefore, if you do not intend to utilize it within a year, it is advisable to proceed with its dissolution for the interim period. Please refer to the guidelines outlined in the Entity Termination / Dissolution process for detailed instructions on how to proceed with this course of action.
Can my entity remain active if I don't have an active personal residency?
Personal residency is independent of entity residency. Entity residency will continue to be auto-renewed even if personal residency becomes inactive. However, without an active personal residency, you will lose access to the entity, as an active resident representative with administrator privileges is required for entity access.
While the entity residency remains active initially, your inability to manage the entity due to inactive personal residency can lead to missed obligations, such as annual reports and tax filings. Over time, these missed requirements may result in the termination of the entity's residency.
How can I upgrade or downgrade my entity's residency to a different tier?
You can now upgrade or downgrade your entity’s residency directly from your ePróspera account:

Log in to your ePróspera dashboard.

Click Business on the left-hand menu.

Under My Entities, select the entity you want to modify.

Scroll down to the Summary section.

Next to Residency Type, click Manage.
-
Select your new residency tier and confirm the change.

How can I change the name of my entity?
You can now file an amendment to change your entity’s name directly from your ePróspera account:

Log in to your ePróspera dashboard.

Click Business on the left-hand menu.

Under My Entities, select the entity you want to modify.
-
Click Manage in the upper right-hand corner.
-
Select File Amendment.
-
Update the entity name and/or principal office address.

Continue to Sign and Pay, then click Submit to complete the process.
Amendments are typically processed within 3-5 business days.
